BlueSky Club
Terms and Conditions
These Terms and Conditions govern access to and use of the BlueSky Club website, public company share price page, investor dashboard, login and password reset tools, dividend records, and related online services. In these Terms, BlueSky Club, we, us, and our refer to the BlueSky Club legal entity that owns or operates the website and related investor administration services.
By accessing the website, creating or using an investor account, reviewing share price information, receiving dividend information, uploading or providing investor information, or otherwise using the services, you agree to these Terms. If you do not agree, you must not use the website or investor dashboard.
This document is a Canadian website policy draft. BlueSky Club should replace this assumption with its exact legal name, mailing address, governing province or territory, regulator details if applicable, and official support contact before publishing.
1. Scope of the Website
The website is intended to provide public information about BlueSky Club and to provide authorized investors with a private dashboard showing information that may include allocated units, saved share price data, estimated value, dividend records, account profile details, and document-related status maintained by BlueSky Club administrators.
The website does not replace signed subscription agreements, shareholder agreements, corporate records, offering documents, board resolutions, tax slips, legal notices, or other formal documentation. If there is a conflict between website information and signed or legally required records, the signed or legally required records will control unless BlueSky Club confirms otherwise in writing.
2. Eligibility
The investor dashboard is available only to persons who have been authorized by BlueSky Club. You may use the dashboard only for your own lawful purposes and only if you are legally able to enter into binding agreements under the laws that apply to you.
BlueSky Club may require identity verification, investor qualification information, tax information, beneficial ownership information, residency information, corporate documents, or other know-your-client or compliance documents before creating or continuing an investor account.
3. Investor Accounts and Security
⁃ You are responsible for keeping your username, password, email account, device, and authentication details secure.
⁃ You must notify BlueSky Club promptly if you believe your account has been accessed without permission or if any account information is inaccurate.
⁃ BlueSky Club may reset passwords, suspend access, require additional verification, or disable an account where it reasonably believes this is needed for security, compliance, fraud prevention, or record accuracy.
⁃ Your account is personal to you and may not be sold, assigned, shared, transferred, or used by another person without prior written approval from BlueSky Club.
4. Offline Purchases and Share Allocations
BlueSky Club purchases and allocations described by the website are administered outside the public website workflow. Investors may write a cheque or complete another approved payment process directly with BlueSky Club. After acceptance, BlueSky Club administrators may allocate company share units and update the investor dashboard.
A dashboard entry showing units, share price, estimated value, or dividend information is an administrative record for convenience. It is not by itself proof of payment, legal ownership, transfer approval, regulatory qualification, tax treatment, or entitlement unless supported by BlueSky Club’s official corporate records and applicable written documents.
BlueSky Club may refuse, delay, reverse, correct, or adjust a dashboard allocation if payment is not received, a cheque is returned, documents are incomplete, compliance review is not satisfied, information is inaccurate, or BlueSky Club determines that a correction is required.
5. No Public Offering or Investment Advice
Unless expressly stated in a formal offering document approved or permitted under applicable Canadian securities laws, the website is not a prospectus, offering memorandum, subscription agreement, recommendation, solicitation, or invitation to purchase securities. Public website content is provided for general information only.
BlueSky Club does not provide investment, financial, legal, accounting, or tax advice through the website. You should obtain independent professional advice before making any investment decision, entering any subscription agreement, relying on dividend information, or considering the tax consequences of any transaction.
Securities laws in Canada are primarily administered by provincial and territorial regulators. Any purchase, sale, transfer, or issuance of BlueSky Club shares or units must comply with applicable Canadian securities laws, corporate laws, exemptions, restrictions, and BlueSky Club governing documents.
6. Company Share Price Page and Graph
The public company share price graph and related price information are provided for general transparency and convenience. The graph may be based on historical data, internal calculations, portfolio values, unit counts, administrative updates, or other inputs selected by BlueSky Club.
BlueSky Club may update, correct, remove, restate, or revise share price data at any time. A displayed price is not a guaranteed purchase price, redemption price, resale price, net asset value, fair market value, appraised value, tax value, or promise that a transaction can occur at that price.
Past performance, historical price movement, dividend history, and displayed returns do not guarantee future performance. Values may rise or fall. Investors may lose some or all of their investment.
7. Dashboard Values and Calculations
The investor dashboard may show estimated values, unit totals, dividend totals, dates, and calculations. These figures are provided for convenience and may be rounded, delayed, adjusted, or corrected. Estimated value may be calculated by multiplying recorded units by a saved share price, but that calculation does not establish a legal valuation or liquidity event.
If you believe dashboard information is incorrect, you should contact BlueSky Club promptly. BlueSky Club may investigate and, if appropriate, correct the record. Corrections may be made retroactively where necessary to reflect accurate records.
8. Dividends
Dividend information shown in the dashboard is for investor recordkeeping and convenience. Dividends, if any, are subject to BlueSky Club’s governing documents, applicable corporate law, board or management approval, available funds, class rights, tax withholding, record dates, payment processes, and other conditions that may apply.
No website statement guarantees that dividends will be declared, paid, continue at any level, or be paid on any schedule. A dividend record may include a payment date, received date, amount, supporting receipt, or documentation uploaded by an administrator.
No website statement guarantees that dividends will be declared, paid, continue at any level, or be paid on any schedule. A dividend record may include a payment date, received date, amount, supporting receipt, or documentation uploaded by an administrator.
9. KYC, Compliance, and Documents
BlueSky Club may collect, review, upload, store, and manage know-your-client, investor qualification, identity, residency, tax, payment, corporate, trust, beneficial ownership, and other compliance documents. These documents may be visible to administrators and may not be visible in the investor dashboard.
You agree to provide accurate, complete, and current information when requested. You must not provide false, misleading, altered, expired, or unauthorized documents. BlueSky Club may request updated information periodically and may restrict account access or transactions until requested information is received and reviewed.
10. Privacy
BlueSky Club’s collection, use, disclosure, retention, and protection of personal information are described in its Privacy Policy. The Privacy Policy forms part of these Terms. By using the website and investor dashboard, you acknowledge that BlueSky Club may process personal information as described in the Privacy Policy and as permitted or required by Canadian law.
11. Electronic Communications
BlueSky Club may communicate with you electronically about account administration, password resets, security notices, investor records, dividend records, document requests, policy updates, and service-related matters. You are responsible for maintaining a current email address and reviewing messages sent to you.
Where BlueSky Club sends commercial electronic messages, it will seek consent and provide identification and unsubscribe tools as required by Canada’s Anti-Spam Legislation, unless an exemption applies. Transactional, security, legal, and account administration messages may still be sent where permitted by law.
12. Acceptable Use
⁃ You must not attempt to access another investor’s account, documents, dividend records, or private information.
⁃ You must not interfere with website security, test vulnerabilities without written permission, upload malicious code, scrape restricted areas, bypass access controls, or use the site for unlawful purposes.
⁃ You must not copy, modify, distribute, reverse engineer, or commercially exploit website content or software except as expressly permitted by BlueSky Club.
⁃ You must not submit documents or content that infringe rights, violate law, contain malware, or are false, misleading, abusive, defamatory, or fraudulent.
13. Intellectual Property
The website, design, text, graphics, dashboard layout, software, logos, charts, data presentation, and other materials are owned by or licensed to BlueSky Club and are protected by copyright, trademark, and other laws. You receive a limited, revocable, non-transferable right to use the website only as permitted by these Terms.
You may download or print your own account records for personal recordkeeping, provided you do not remove proprietary notices, misrepresent the records, or use them for unlawful purposes.
14. Confidentiality
Investor dashboard information may be confidential. You agree to use reasonable care when storing, downloading, printing, or sharing dashboard data, dividend records, documents, or communications. BlueSky Club may mark or treat certain information as confidential even if it appears in your account.
15. Third-Party Services and Links
The website may use WordPress, hosting providers, analytics tools, security tools, payment-related services, email services, document storage, or other third-party services. BlueSky Club is not responsible for third-party websites or services that it does not control. Your use of third-party services may be subject to separate terms and privacy notices.
16. Availability, Maintenance, and Changes
BlueSky Club may modify, suspend, update, restrict, or discontinue any part of the website or dashboard at any time. The website may be unavailable because of maintenance, hosting issues, security events, internet disruption, software errors, or other causes.
BlueSky Club may add or remove features, change page layouts, update calculations, correct errors, change shortcodes, and modify administrative tools without notice, provided that formal legal rights are governed by applicable written agreements and laws.
17. Disclaimers
To the maximum extent permitted by applicable law, the website and dashboard are provided on an as-is and as-available basis. BlueSky Club does not guarantee that the website will be uninterrupted, error-free, secure, current, complete, or suitable for any particular purpose.
BlueSky Club does not guarantee investment performance, liquidity, dividends, valuation, tax treatment, marketability, capital preservation, or the availability of any share purchase, sale, redemption, or transfer.
18. Limitation of Liability
To the maximum extent permitted by applicable law, BlueSky Club and its directors, officers, employees, contractors, administrators, service providers, and affiliates will not be liable for indirect, incidental, consequential, special, punitive, exemplary, or similar damages, including lost profits, lost opportunity, investment loss, data loss, business interruption, or loss of goodwill arising from or related to the website or dashboard.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so. Some jurisdictions may not allow certain exclusions or limitations, so some of the above may not apply to you.
19. Indemnity
You agree to indemnify and hold harmless BlueSky Club and its directors, officers, employees, contractors, administrators, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your breach of these Terms, misuse of the website, inaccurate information, unauthorized account use, violation of law, or infringement of another person’s rights.
20. Suspension and Termination
BlueSky Club may suspend or terminate website access, investor dashboard access, password reset access, or document upload privileges if it believes you have violated these Terms, created security risk, provided inaccurate information, failed to complete compliance requirements, or if access restriction is needed to comply with law or protect BlueSky Club or other investors.
Termination of online access does not automatically terminate any legal rights or obligations arising from signed agreements, corporate records, payment obligations, tax obligations, confidentiality duties, or applicable law.
21. Governing Law and Disputes
These Terms are intended to be governed by the laws of the Canadian province or territory in which BlueSky Club is incorporated or headquartered, together with the federal laws of Canada that apply there. Before publishing, BlueSky Club should insert the specific governing province or territory and court venue after review by counsel.
Where permitted by law, disputes relating to the website or dashboard should first be raised with BlueSky Club in writing so the parties can attempt to resolve the matter informally. Nothing prevents either party from seeking urgent injunctive relief, preserving legal rights, or complying with regulatory requirements.
22. Changes to These Terms
BlueSky Club may update these Terms from time to time. The effective date will identify the latest version. Where changes are material, BlueSky Club may provide additional notice through the website, investor dashboard, email, or other reasonable method. Continued use after changes become effective means you accept the updated Terms.
23. Contact
Questions about these Terms should be sent to BlueSky Club using the contact details published on the website. BlueSky Club should insert its legal name, mailing address, email address, and telephone number before publication.
Schedule A: Investor Dashboard Summary
The investor dashboard is designed to help investors clearly see key information: units purchased or allocated by BlueSky Club, current saved share price, estimated value, dividend history, dividend receipts or documents where available, and profile information. The dashboard is a convenience tool, not a replacement for official records.
⁃ Units purchased or allocated are recorded by BlueSky Club administrators after offline acceptance and documentation.
⁃ Share price is saved by BlueSky Club administrators and may be shown publicly on the company share price graph.
⁃ Estimated value is a convenience calculation that may multiply units by saved share price.
⁃ Dividends are historical records entered by administrators, including amount, period, received date, and supporting files if available.
⁃ KYC identity and compliance documents may be managed by administrators and may not be visible to investors.
Schedule B: Canadian Review Checklist
Before publishing, BlueSky Club should ask Canadian counsel and professional advisors to confirm the following items.
⁃ Exact legal entity name, address, corporation number, and governing province or territory.
⁃ Whether share sales are securities offerings and which Canadian prospectus or registration exemptions apply.
⁃ Whether any offering memorandum, subscription agreement, shareholder agreement, risk acknowledgement, transfer restriction, or investor qualification form is required.
⁃ Which KYC, anti-money laundering, tax, or beneficial ownership checks apply to the company and investors.
⁃ Whether language must be adapted for Quebec residents, French-language publication, or province-specific privacy and consumer protection requirements.
⁃ Whether dividend, valuation, and tax language matches BlueSky Club’s corporate documents and financial reporting practices.
